1. Who these terms cover
These terms apply to every snapshot purchased from DFY Foundry and every build service we deliver. By buying a snapshot or booking a build you agree to them. If your agency has a separate signed agreement with us, that agreement wins wherever the two disagree.
2. Snapshot licence
- You may install any snapshot you buy into unlimited sub-accounts under your own agency account.
- You may white-label it, rename it, edit it and resell the resulting service to your clients at any price you choose.
- You may not resell, share or redistribute the snapshot file or share link itself to another agency, and you may not publish it in a marketplace.
- The licence is perpetual for the version you receive and includes twelve months of updates from purchase.
- If a client leaves your agency, the installed sub-account content stays with whoever holds that account. The licence does not transfer.
3. Build services
Every build starts with a written scope stating what will be built, what it costs and what date it lands. Anything outside that scope is quoted before it is started. We do not do work you have not agreed to and then invoice for it.
We work from an agency-level user inside your own GoHighLevel account. You hold the subscription; we are not a reseller of the platform and never bill for it. You may revoke our access at any time, including on hand-over day.
4. What we need from you
The build clock starts when we have access, your intake answers and any brand assets we have asked for — not when you pay. If we are waiting on you for more than fourteen days the project is paused and rescheduled into the next available slot.
5. Payment
- Snapshots are paid in full at purchase.
- Builds under $2,000 are paid in full at kickoff.
- Builds over $2,000 may be split 50% at kickoff and 50% at hand-over.
- Retainers are billed monthly in advance and can be cancelled with thirty days notice.
- Invoices are due on receipt. Work pauses on accounts more than fourteen days overdue.
6. Refunds
Snapshots are digital assets and are non-refundable once the share link has been issued. Build services are different: if we miss a milestone we committed to in the written scope, you do not pay for that milestone. We do not refund work already delivered and accepted.
7. Support after hand-over
Billet builds include 30 days of build support; Forge builds include 90 days. During that window any defect in what we built is fixed at no cost. New scope, third-party changes and problems caused by edits made after hand-over are quoted separately.
8. Intellectual property
You own the account, the client data and everything configured inside your account. We retain ownership of our snapshot source builds, templates, documentation formats and internal tooling. Nothing in these terms transfers ownership of those to you, and nothing stops you from editing what has been installed in your account.
9. Confidentiality
We treat everything we see inside your account as confidential. We do not name clients in case studies without written permission, and we will sign your NDA if you have one.
10. Liability
Our total liability for any claim is limited to the fees you paid us for the work the claim relates to. We are not liable for lost profit, lost data held by third-party platforms, or for outages, policy changes or feature removals by HighLevel, Twilio, or any other provider.
11. Independence
DFY Foundry is an independent build studio. We are not affiliated with, endorsed by, or a reseller of HighLevel, Inc. Product names are used only to describe what we build inside.
12. Governing law
These terms are governed by the laws of the State of Texas, United States. Disputes are handled in the courts of that jurisdiction unless a separate signed agreement says otherwise.
